Terms of Service

Summary: SeySuite is a subscription-based business management platform. You own your data. We provide the service. These terms govern how we work together.
1. Agreement
By creating an account or using SeySuite, you agree to these Terms of Service ("Terms"). If you are registering on behalf of a business, you confirm you have authority to bind that business to these Terms.
"You" means the individual or business entity that registers for and uses SeySuite. "We", "us", or "our" means Zil Smart Solutions, a company registered in the Republic of Seychelles.
2. The Service
SeySuite is a cloud-based business management platform providing invoicing, payroll, HR, inventory, expense tracking, time recording, supplier management, reporting, and related functionality. The service is provided "as is" and "as available".
3. Accounts
- You must provide accurate and complete information when registering
- You are responsible for maintaining the security of your account credentials
- You must not share your login credentials with unauthorized persons
- You must notify us immediately of any unauthorized access to your account
- One business entity per account — sub-users may be added with appropriate roles
4. Subscription and Payment
- SeySuite operates on a subscription model with monthly or annual billing
- All prices are quoted and payable in Seychelles Rupees (SCR)
- Payment methods: SeyMobile, MCB Juice, SCB Pay, bank transfer
- Subscriptions renew automatically unless cancelled before the renewal date
- We may change subscription prices with 30 days' written notice
- Non-payment may result in account suspension after a grace period
5. Free Trial
New accounts receive a free trial period. During the trial, you have full access to all features. At the end of the trial, your account transitions to read-only mode. No data is deleted — you can subscribe at any time to restore full access.
6. Your Data
You own your data. All business data you enter into SeySuite remains your property. We do not claim any ownership, intellectual property rights, or license over your data beyond what is necessary to provide the service.
- You may export your data at any time in standard formats (CSV, PDF)
- Upon account deletion, your data is retained for 90 days for recovery purposes, then permanently deleted

7. Acceptable Use
You agree not to:
- Use SeySuite for any unlawful purpose or in violation of Seychelles law
- Attempt to gain unauthorized access to other users' accounts or data
- Interfere with or disrupt the service, servers, or networks
- Upload malicious code, viruses, or harmful content
- Use the platform to store or transmit content that infringes third-party rights
- Resell, sublicense, or redistribute SeySuite without written permission
- Use automated tools (bots, scrapers) to access the service without authorization
8. Payroll and Tax Calculations
Important: SeySuite calculates PAYE, SPF, and other deductions based on current Seychelles Revenue Commission (SRC) rules as understood at the time of implementation. While we strive for accuracy, you are ultimately responsible for verifying payroll calculations and tax filings. SeySuite is a tool to assist you — it does not replace professional accounting or tax advice.
9. Service Availability
- We aim for 99.5% uptime but do not guarantee uninterrupted service
- Scheduled maintenance will be communicated in advance where possible
- We are not liable for downtime caused by factors outside our control (internet outages, hosting provider issues, force majeure)
10. Limitation of Liability
To the maximum extent permitted by Seychelles law:
- Our total liability for any claim arising from or related to SeySuite is limited to the subscription fees you paid in the 12 months preceding the claim
- We are not liable for indirect, consequential, incidental, or punitive damages, including loss of profits, data, or business opportunities
- We are not liable for errors in payroll calculations, tax computations, or compliance reports — you are responsible for verification
11. Termination
- You may cancel your subscription at any time. Access continues until the end of the billing period
- We may suspend or terminate your account for breach of these Terms, with reasonable notice where possible
- Upon termination, you may export your data for 90 days
12. Intellectual Property
SeySuite, its code, design, branding, documentation, and all related intellectual property are owned by Zil Smart Solutions. Your subscription grants you a non-exclusive, non-transferable license to use the platform. See our EULA for full license terms.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of SeySuite after the effective date constitutes acceptance.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Seychelles. Any disputes arising from or related to these Terms or your use of SeySuite shall be subject to the exclusive jurisdiction of the courts of Seychelles.
