End User License Agreement (EULA)

1. License Grant

Zil Smart Solutions ("Licensor") grants you ("Licensee") a limited, non-exclusive, non-transferable, revocable license to access and use the SeySuite platform ("Software") for the duration of your active subscription, subject to these terms.

2. Scope of License

This license permits you to:

• Access SeySuite via a web browser on any device you own or control
• Create user accounts for your employees and team members as permitted by your subscription plan
• Enter, store, process, and export your business data through the platform
• Generate invoices, payslips, reports, and other documents for your business use

3. Restrictions

This license does NOT permit you to:

• Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Software
• Create derivative works based on the Software
• Sublicense, lease, rent, sell, or redistribute the Software or access to it
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
• Use the Software to provide services to third parties (bureau service) without written consent
• Attempt to access the source code, databases, or infrastructure beyond what the platform interface provides
• Use the Software in any way that violates applicable Seychelles law

4. Intellectual Property

All rights, title, and interest in and to the Software — including its source code, design, user interface, documentation, branding, logos, and all related intellectual property — remain the exclusive property of Zil Smart Solutions.

Nothing in this EULA transfers any intellectual property rights to you. The SeySuite name, logo, and associated branding are trademarks of Zil Smart Solutions.

5. Your Data

You retain all rights to the data you enter into SeySuite. This EULA does not grant us any ownership or intellectual property rights over your business data. See our Privacy Policy for how we handle your data.

6. Updates and Modifications

We may update, modify, or enhance the Software at any time. Updates are applied automatically as part of the cloud-based service. We will endeavour to communicate significant changes in advance, but reserve the right to make changes without notice where necessary for security, compliance, or performance reasons.

7. Support

Support is provided via email at seysuite_support@zilsmartsolutions.com. Response times depend on the nature of the issue and your subscription plan. Support covers platform functionality — it does not include accounting, tax, or legal advice.

8. Warranty Disclaimer

The Software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we strive for accuracy in all calculations (including PAYE, SPF, and VAT), we do not warrant that the Software is free from errors. You are responsible for verifying all outputs.

9. Limitation of Liability

To the maximum extent permitted by Seychelles law, Zil Smart Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Software, even if we have been advised of the possibility of such damages.

Our total cumulative liability shall not exceed the subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim.

10. Termination

This license is effective until terminated. It terminates automatically if:

• Your subscription expires or is cancelled
• You breach any term of this EULA
• We discontinue the Software (with 90 days' notice)

Upon termination, you must cease all use of the Software. Your right to export data is governed by our Terms of Service.

11. Governing Law

This EULA is governed by the laws of the Republic of Seychelles. Disputes shall be subject to the exclusive jurisdiction of the courts of Seychelles.
